1. Agreement and eligibility
These Terms of Use form an agreement between you and CogitoLab for SayTake and its official website. By downloading, purchasing, or using SayTake, you agree to them and to the applicable Apple Media Services terms. If you use SayTake for an organization, you confirm that you may bind that organization. You must be legally able to enter this agreement.
2. Software license
Subject to these terms and the App Store rules, CogitoLab grants you a limited, personal or internal-business, non-exclusive, non-transferable, revocable license to install and use SayTake on eligible Apple devices associated with your account. The software is licensed, not sold. SayTake, its design, code, brand, and documentation remain owned by CogitoLab or its licensors.
You may not redistribute the app, bypass entitlement or technical limits, extract or resell protected components, or reverse engineer it except to the extent applicable law expressly permits despite this restriction.
3. Your content and rights
You retain the rights you have in scripts, recordings, images, audio, stage elements, projects, and exported videos you create or import. CogitoLab does not claim ownership merely because you use SayTake.
You are responsible for obtaining all necessary copyrights, trademark permissions, licenses, privacy permissions, publicity rights, and other consents for imported material, recorded people, voices, music, brands, and published output. Do not record or publish someone in violation of law or a reasonable expectation of privacy.
4. Apple features, AI output, and custom providers
AI and generative features can produce incorrect, incomplete, biased, unsuitable, or non-unique material. You must review scripts, layout suggestions, images, plans, and edits before applying, recording, or publishing them. Do not rely on output as legal, medical, financial, safety, or other professional advice.
Apple Intelligence and Image Playground depend on compatible hardware, software, languages, regions, model readiness, and Apple’s terms. CogitoLab does not promise their availability in every country or at every time.
If you connect an OpenAI-compatible or Anthropic-compatible service, your direct relationship with that provider governs its availability, content handling, retention, training settings, fees, rate limits, and output. You are responsible for credentials, usage charges, endpoint configuration, and permission to submit the selected content. SayTake’s Pro purchase does not include third-party API fees.
5. Camera, microphone, and recording
You decide when to enable the camera, microphone, circular presenter view, and recording. You are responsible for notice and consent where recording laws, workplace rules, platform rules, or contractual duties require them. Confirm that the preview and export contain only the material you intend to share.
6. Free and one-time Pro unlock
SayTake may provide a Free tier with limits described in the app and App Store listing. The initial plan is a non-consumable, one-time Pro in-app purchase associated with the purchasing App Store account and Apple’s current entitlement record. While that entitlement is valid, it permanently unlocks the eligible Pro functionality in this SayTake app—not every future CogitoLab product, third-party service, API usage, new paid offering, or support for every future macOS version.
Prices, taxes, refunds, family sharing availability, purchase restoration, and billing are handled under Apple’s rules. A refunded or revoked transaction may return the app to Free. Feature descriptions shown before purchase form part of the offer; material changes will be disclosed as required by law.
7. Acceptable use
You must not use SayTake to violate law or others’ rights; create or distribute malware; evade security or access controls; impersonate deceptively; exploit children; facilitate abuse; or submit content to a provider without authorization. You must not interfere with the app, website, App Store, or related infrastructure.
8. Availability, updates, and termination
Features can differ by device, macOS version, language, region, provider, and App Store availability. The initial release is not offered in the mainland China App Store. We may issue fixes, security updates, compatibility changes, or discontinue a feature or the app, subject to applicable law. We do not promise indefinite compatibility with obsolete or future operating systems.
You may stop using SayTake at any time. We may suspend access to services we control or terminate this license for a material breach, where proportionate and legally permitted. Sections concerning ownership, responsibility, disclaimers, and liability survive termination.
9. Disclaimers and liability
To the maximum extent permitted by law, SayTake and the website are provided “as is” and “as available,” without warranties of uninterrupted operation, fitness for a particular purpose, non-infringement, or error-free AI output. Nothing in these terms excludes warranties or remedies that cannot legally be excluded.
To the maximum extent permitted by law, CogitoLab is not liable for indirect, incidental, special, consequential, or punitive damages; lost profits, business, reputation, or data; third-party provider conduct; or content you record or publish. For claims that may be limited, CogitoLab’s aggregate liability will not exceed the amount you paid for SayTake during the twelve months before the event giving rise to the claim. Some jurisdictions do not allow these exclusions, so they apply only as far as lawful.
10. Changes, governing rules, and contact
We may update these terms for product, legal, or security changes. The effective date will change, and material changes will receive reasonable notice. If a provision is unenforceable, the remainder continues. Mandatory consumer protections and conflict-of-law rules in your place of residence still apply. Any governing-law or forum rule is subject to those mandatory protections and the App Store terms.
